Viking Acquisition Corp. II, a newly formed special purpose acquisition company (SPAC), is poised to commence trading on the New York Stock Exchange following the pricing of its initial public offering. The entity intends to generate $200 million through the issuance of its units to public investors, according to Investing.com.
Each unit offered in the IPO will consist of one share of common stock and one-half of a redeemable warrant. A full warrant will grant its holder the right to purchase one share of common stock at a price of $11.50. The units are anticipated to begin trading under the ticker symbol "VAQC.U." Once the securities comprising the units begin separate trading, the common stock and warrants are expected to be listed under the symbols "VAQC" and "VAQC WS," respectively.
The offering is slated to close on December 2, 2021, subject to the satisfaction of customary closing conditions. Cantor Fitzgerald & Co. is serving as the lead book-running manager for the offering. Additionally, Loop Capital Markets and Roberts & Ryan are acting as co-managers for the transaction. This new SPAC joins a growing trend of similar investment vehicles seeking to acquire or merge with existing private companies.
The capital raised by Viking Acquisition Corp. II will be used to pursue a merger, share exchange, asset acquisition, stock purchase, recapitalization, reorganization, or similar business combination with one or more businesses. The company has not yet identified any specific acquisition targets or industries it plans to focus on, which is typical for a newly formed SPAC. Such entities are formed to raise capital through an IPO with the sole purpose of acquiring an existing company.
The management team of Viking Acquisition Corp. II brings experience from various sectors, aiming to leverage their expertise in identifying a suitable target for acquisition. The success of a SPAC largely depends on the experience of its management and its ability to identify and execute a value-creating business combination within the stipulated timeframe, typically two years from the IPO date.
