Snail, Inc., a company known for its video game publishing and distribution, declared a reverse stock split that will consolidate its outstanding shares. This corporate action, effective later this month, translates to every five existing shares merging into a single new share. The primary objective behind this decision, according to Yahoo Finance, is to increase the per-share trading price of Snail's common stock. A higher share price is often seen as more attractive to institutional investors and can help meet minimum price requirements for stock exchanges. Specifically, this maneuver is designed to ensure Snail, Inc. remains in compliance with Nasdaq's continued listing standards. Nasdaq typically requires a minimum bid price of $1.00 per share for companies traded on its exchange. Falling below this threshold for an extended period can lead to delisting proceedings. While the reverse stock split will drastically reduce the total number of outstanding shares, it will not alter the proportional ownership of current shareholders. For instance, an investor holding 500 shares before the split will own 100 shares afterward, but the total value of their investment, absent other market forces, should remain the same. The company has also confirmed that this action will proportionally adjust the number of shares authorized for issuance under its equity incentive plans, as well as the exercise prices and terms of any outstanding stock options or warrants. This maintains the integrity of these financial instruments post-split. Shareholders are not required to take any immediate action. Their brokerage firms will handle the conversion of their shares into the new, post-split equivalent. Snail, Inc. anticipates that the adjusted shares will begin trading on the Nasdaq Capital Market under the same ticker symbol, "SNAL," following the effective date of the reverse split.
