AEON Biopharma has finalized the terms for its latest public stock offering, a move that is anticipated to raise about $13.75 million in gross proceeds. This figure is before factoring in underwriting discounts, commissions, and other related expenses of the offering. This financial action was reported by Seeking Alpha.
The offering encompasses 5.5 million shares of common stock, which were made available to the public at a price of $2.50 per share. Each share sold in this transaction is paired with a specific type of warrant. These warrants are designed to become exercisable upon the achievement of certain developmental milestones.
Investors purchasing these shares also received two distinct warrants. The first is a Series A warrant, allowing the holder to acquire one additional share of common stock at an exercise price of $2.50. These Series A warrants will be immediately exercisable upon issuance and are scheduled to expire five years from their initial issue date.
The second type provided is a Series B warrant. These warrants also allow for the purchase of one share of common stock, but their exercise price is set at $4.00 per share. Unlike the Series A warrants, the Series B warrants will only become exercisable upon the company's achievement of a specific clinical milestone. This milestone involves the successful completion of an End-of-Phase 2 meeting with the U.S. Food and Drug Administration (FDA) for AEON Biopharma's primary therapeutic candidate, ABP-450, in the episodic migraine indication.
Once the clinical milestone is met, the Series B warrants will become immediately exercisable and will remain valid for five years from that date. The structure of these warrants links potential future investment directly to the company's progress in its drug development pipeline, particularly its work on migraine treatment.
AEON Biopharma focuses on developing treatments for neurological disorders, with ABP-450 being a key asset in their portfolio. The funding secured through this offering is expected to support ongoing research and development efforts, especially as the company advances its clinical programs toward regulatory milestones. The inclusion of milestone-based warrants underscores a strategy to incentivize investment while aligning it with the company's progress in clinical trials.
