Sable Offshore has released details regarding the pricing of its recent capital-raising initiatives, according to Seeking Alpha. These efforts involve both a public offering of common shares and an offering of convertible senior notes, with the primary goal of addressing outstanding financial obligations.
The public offering of common stock is priced at $1.25 per share. Concurrently, Sable Offshore announced the terms for its 5.00% convertible senior notes, which are due in 2026. These notes are anticipated to generate approximately $110 million in gross proceeds.
The conversion rate for these notes has been established at 634.9206 common shares per $1,000 principal amount of notes. This translates to an initial conversion price of approximately $1.575 per share, representing a premium of about 26% over the last reported sale price of Sable Offshore's common stock on the New York Stock Exchange, which was $1.25 per share as of June 8. This pricing strategy aims to provide an attractive conversion opportunity while also allowing for potential upside for the company.
Sable Offshore has indicated that it expects to provide the underwriters with a 30-day option to purchase up to an additional $16.5 million in principal amount of these convertible senior notes. This option offers flexibility to increase the offering size if demand is strong.
The settlement of the offering for the common stock is projected to occur around June 15, 2021. The convertible senior notes offering is also expected to close around the same date, subject to customary closing conditions. These concurrent closings will enable the company to access the capital needed to execute its debt reduction strategy promptly.
Following these offerings, the proceeds will be strategically utilized by Sable Offshore to repay a portion of its outstanding indebtedness under its existing term loan facility. This move is anticipated to strengthen the company's financial structure and reduce its interest burden, contributing to a more sustainable financial outlook.
