Shares of Shattuck Labs saw a significant boost in trading today, with the company's stock price rising by approximately 14%. This upward movement is attributed to the recent disclosure of a strategic partnership with Takeda Pharmaceuticals, a prominent global pharmaceutical firm.
The agreement, as reported by Investing.com, centers on the co-development and commercialization of investigational cancer treatments. Specifically, the collaboration will advance SL-172154, Shattuck Labs' leading clinical-stage program. This compound is designed as an ARC fusion protein that simultaneously targets CD47 and PD-L1.
Under the terms negotiated, Shattuck Labs will receive a substantial upfront payment totaling $15 million from Takeda. Furthermore, the agreement outlines potential future payments that could reach up to $675.5 million. These subsequent payments are contingent upon the achievement of various development, regulatory, and commercial milestones.
In addition to these milestone payments, the deal includes provisions for tiered royalties on any future net sales of products stemming from the collaboration. Takeda will also make an equity investment in Shattuck Labs, purchasing around 1.3 million shares at a predetermined price of $11.83 per share.
The collaboration framework dictates a shared responsibility for the global development of SL-172154. Both companies will contribute equally to development costs and will also share equally in any profits generated from sales in the United States. Outside of the U.S., Takeda will assume sole responsibility for commercializing the product, with Shattuck Labs eligible to receive the aforementioned tiered royalties on those international sales.
The initial focus of the clinical trials for SL-172154 has been on treating ovarian cancer and acute myeloid leukemia (AML). This partnership aims to accelerate the progress of these potential therapies, leveraging the combined expertise and resources of both pharmaceutical companies.
Investors reacted positively to the news of this partnership, recognizing the potential for accelerating drug development and expanding market reach for Shattuck Labs' innovative cancer treatment candidates. The financial terms of the agreement, including the significant upfront payment and potential future milestones, are seen as a strong vote of confidence in the program's prospects.
