Synopsys stock saw a significant decrease in market value on Tuesday, with its shares trading down substantially during the session. This downturn occurred after the company unveiled its plans to acquire Ansys in a major all-cash and stock transaction. According to Investing.com, the technology firm's stock was trading lower by over 5% in afternoon activities. The proposed acquisition, announced on Monday, is set to be a substantial move in the software sector, particularly in electronic design automation (EDA) and simulation. Synopsys will purchase Ansys for approximately $35 billion, comprising a mix of cash and stock. Under the terms of the agreement, Ansys shareholders are slated to receive $197.00 in cash and 0.3450 shares of Synopsys common stock for each Ansys share they own. The total consideration translates to $400.00 per share, based on Synopsys' closing stock price as of December 21, 2023. This valuation represents a premium of around 29% to Ansys' closing price on December 21, 2023. The combined entity is projected to achieve an estimated $400 million in pre-tax annual cost synergies by the third year following the acquisition's completion. Furthermore, an additional $400 million in revenue synergies are expected within four years, generated from cross-selling opportunities and an expanded market reach. Synopsys anticipates the acquisition to be accretive to its non-GAAP earnings per share in the second full year post-closing, suggesting a positive financial impact after an initial integration period. The transaction has received unanimous approval from the boards of directors of both companies. Completion of the deal is contingent upon customary closing conditions, including obtaining regulatory clearances globally and approval from Ansys shareholders. The two companies expect to finalize the acquisition during the first half of 2025. This strategic move aims to create a comprehensive portfolio in silicon to systems design solutions, integrating Synopsys' EDA technology with Ansys' simulation and analysis capabilities. Investors are currently weighing the implications of this large-scale corporate action on Synopsys' immediate financial performance and future growth trajectory.
