Viridian Therapeutics, a biotechnology firm, has proceeded with the pricing of an oversubscribed combined offering of its shares and convertible debt instruments, anticipating gross proceeds of $350 million. This significant financial undertaking, as reported by Seeking Alpha, includes the sale of common stock alongside several tranches of convertible senior notes. The equity portion of the offering comprises 9,600,000 shares of its common stock, priced at $16.00 per share. This component alone is projected to generate $153.6 million before accounting for underwriting discounts and commissions. The company has also granted the underwriters an option to acquire an additional 1,440,000 shares of common stock, which could further increase the total capital raised from the equity sale. In parallel, Viridian Therapeutics is issuing $196.4 million in aggregate principal amount of convertible senior notes, maturing in 2029. These notes will carry an interest rate of 4.50% per annum, payable semi-annually on June 15 and December 15, commencing December 15, 2024. The initial conversion rate for these notes is set at approximately 47.9230 shares of common stock per $1,000 principal amount, equating to an initial conversion price of about $20.87 per share. This represents a 30% premium over the public offering price of the common stock. Similar to the stock offering, the underwriters for the convertible notes have a 30-day option to purchase up to an additional $29.46 million in principal amount of these notes. The closing for both the stock and note offerings is anticipated to occur around June 20, 2024, subject to standard closing conditions. The company has indicated its intention to allocate the net proceeds from these offerings primarily to advance its clinical development programs, particularly focusing on its lead product candidates. Furthermore, a portion of the funds will be directed towards general corporate purposes, which may include working capital, operating expenses, and other capital requirements. This strategic capital injection is expected to support Viridian's ongoing research and development efforts and strengthen its financial position in the competitive biotechnology sector.
