Agnico Eagle Mines Limited has publicly disclosed the renewal of its Normal Course Issuer Bid (NCIB), enabling the company to repurchase a significant number of its common shares. This latest authorization permits the acquisition of as many as 25 million shares, representing approximately 10.4% of the company’s "public float" as of May 17, 2024. The Toronto Stock Exchange (TSX) has already given its approval for this new program.
According to Yahoo Finance, the newly approved buyback initiative is scheduled to commence on May 24, 2024. This follows the conclusion of a prior NCIB program that started on May 24, 2023, and concluded on May 23, 2024. During that preceding period, Agnico Eagle Mines repurchased 1,843,200 common shares. These shares were acquired at a volume-weighted average price of $64.49 per share, totaling an expenditure of approximately $118,874,057.
The repurchasing of shares will occur either through the facilities of the TSX, the New York Stock Exchange (NYSE), or alternative Canadian trading platforms. The method of acquisition will adhere to the rules and regulations set forth by both exchanges and applicable securities commissions. Daily repurchases on the TSX are capped at 324,541 common shares. This limitation is derived from 25% of the average daily trading volume for Agnico Eagle Mines' shares over the last six months, totaling 1,298,166 shares, excluding any off-market block purchases made under the prior NCIB.
The price paid for any shares under the NCIB will reflect the prevailing market price at the time of purchase. Moreover, shares acquired through this program will subsequently be canceled by Agnico Eagle Mines, a move that typically reduces the number of outstanding shares and can potentially increase earnings per share. This strategy can often be seen as a vote of confidence from a company's management in its own valuation and future prospects. The purpose of these buybacks is to provide both short-term and long-term value to shareholders, by reducing dilution and improving certain financial metrics. Purchases may also be executed through block trades involving a significant number of shares, subject to the conditions of the current NCIB and regulatory exemptions.
Shareholders and investors should note that the company has engaged ATB Capital Markets to act as the designated broker to facilitate the purchases under the current NCIB agreement. This ensures that the process is managed by an independent third party, adhering to all regulatory guidelines. The program is set to remain active for a year, unless the company reaches its maximum repurchase limit of 25 million shares sooner, or if the program is terminated by the company itself before the scheduled end date of May 23, 2025.
