Alcoa has reached a definitive agreement to purchase a collection of aluminum assets from South32, a move that could see the transaction's total worth climb to $5.6 billion. This acquisition, as reported by Seeking Alpha, is poised to reshape parts of the global aluminum landscape.
The agreement encompasses the full acquisition of South32's interests in the Alumar alumina refinery and the Mozal aluminum smelter. Additionally, Alcoa will gain South32's stake in the Ma'aden alumina refinery, alongside an interest in the Brazilian operations of MRN bauxite.
The initial payment for these assets is set at $1.5 billion in cash. Further compensation for South32 includes a royalty tied to the future production of the acquired assets. This royalty structure is designed to provide South32 with ongoing financial benefit from the operations for a period of five years following the completion of the sale.
Specifically, the royalty will be calculated at a rate of 3% on the realized price of alumina and aluminum produced from the Mozal and Alumar facilities. This payout mechanism is capped annually at $150 million. The overall potential valuation of $5.6 billion is reached when considering the maximum possible earnings from this five-year royalty stream.
This strategic acquisition is anticipated to strengthen Alcoa's position in the global aluminum market, particularly in the bauxite, alumina, and aluminum smelting sectors. The inclusion of the Mozal smelter in Mozambique and the significant ownership in the Alumar refinery in Brazil are expected to provide Alcoa with increased production capacity and greater control over its supply chain.
The transaction is subject to customary closing conditions and regulatory approvals, which are standard for deals of this magnitude. Both companies will now work towards fulfilling these requirements, with the completion of the acquisition expected to occur within the coming months. The deal signifies a notable shift in asset ownership within the metals and mining industry.
