Perpetual, a prominent Australian investment management company, is currently evaluating a revised acquisition offer from the private equity organization EQT. The Swedish-based firm has put forward an enhanced, all-cash proposal amounting to A$2.6 billion, which translates to roughly $1.75 billion USD. This updated bid comes after Perpetual had previously rejected a lower offer from EQT. According to Investing.com, the new offer marks a significant increase from previous propositions.
The board of Perpetual has indicated that it views this latest proposal as non-binding but potentially capable of leading to a recommended transaction. The company confirmed its engagement with EQT regarding the improved terms. This development underscores the ongoing interest in Perpetual, especially following its strategic decision to offload its corporate trust and wealth management divisions to concentrate on asset management.
Following the announcement of the bolstered offer, Perpetual's shares experienced a substantial rise of up to 13.5% during early trading on Wednesday, reaching A$28.98. This surge highlights investor optimism regarding the potential for a successful acquisition. The proposed transaction includes a non-cash component through which Perpetual shareholders would be offered shares in the spin-off of its corporate trust business, to be named PST, alongside the cash payment for the asset management unit.
Perpetual had been the subject of takeover interest from multiple parties. Barrenjoey, a financial services firm, speculated that if the deal proceeds, the price could eventually reach A$30-A$31 per share. EQT's initial, lower offer was previously rejected by Perpetual in September, which valued the company at A$2.5 billion. Other interested parties included a consortium consisting of BPEA EQT and Regal Partners, though their bid was also deemed insufficient.
EQT's continued pursuit suggests strong belief in the value proposition of Perpetual's core asset management operations. The decision by Perpetual's board to engage further with EQT signals a serious consideration of the offer, moving beyond the previous rejections. Shareholders will be closely watching for further announcements as due diligence and negotiations progress for this major acquisition in the financial sector.
