Intertek, a prominent assurance, inspection, product testing, and certification company, has reportedly rejected an enhanced takeover bid from the European private equity group EQT. This marks the second time the London-listed firm has spurned advances from EQT, citing that the latest offer of approximately $12.1 billion (equivalent to £9.7 billion) still does not reflect the true worth of the company, according to The Wall Street Journal. The initial proposal from EQT, made public in mid-March, was also rebuffed by Intertek. Following this, EQT returned with an improved cash acquisition offer of £51.80 per share, which was a roughly 6.5% increase from its prior non-binding offer of £48.50 per share. Despite the increment, Intertek’s board found the revised terms unsatisfactory. Intertek conveyed its steadfast commitment to seeing through its current strategic review, which is focused on optimizing its portfolio and enhancing shareholder value. This review was initiated after a period of fluctuating performance and investor pressure to streamline its diverse operations. Market responses to these developments have varied. Analysts suggest that EQT’s persistent pursuit indicates their strong belief in Intertek’s underlying value and potential for efficiency improvements under new ownership. However, Intertek’s resolute stance suggests that its leadership perceives greater long-term value in their existing strategy or anticipates a more lucrative offer. Intertek has a substantial global footprint, offering services across multiple industries, from consumer goods and food to energy and construction. Its wide range of services makes it an attractive target for private equity firms seeking stable, essential businesses that can be optimized for higher returns. The ongoing dialogue between EQT and Intertek will likely continue to be closely watched by investors and industry observers, as it could reshape the competitive landscape within the global testing, inspection, and certification sector. The outcome remains uncertain as Intertek reinforces its intent to pursue its independent strategic direction.
