Shares of VNET Group Inc. (NASDAQ: VNET) saw a notable surge in trading on Friday after news broke regarding a privatization bid. The Beijing-based internet data center services provider, according to Investing.com, became the subject of a "take-private" inquiry from a group of investors. The consortium behind this initiative includes prominent figures such as Sheng Chen, the company's executive chairman, and entities affiliated with leading private equity firms, namely Hony Capital and Respect Thrive Group. Their proposition involves purchasing all of VNET's outstanding ordinary shares that are not already held by the consortium. According to the non-binding proposal, the offer price stands at $8.00 per ordinary share, or $16.00 per American Depositary Share (ADS). Each ADS represents two ordinary shares in the company. This proposed price signifies a considerable premium over recent trading levels. Specifically, the $8.00 per ordinary share offer represents a 25.8% increase compared to the closing price on November 9, 2023, which was $6.36 per ordinary share. When considering the 30-trading day volume-weighted average price (VWAP) as of the same date, the premium is even more substantial, at 49.5%. The board of directors at VNET has indicated that it intends to establish an independent special committee. This committee will be tasked with thoroughly evaluating the non-binding proposal and advising the company on the appropriate course of action. Shareholders do not need to take any immediate action regarding their shares in response to this development. VNET Group, often referred to as 21Vianet, is a major carrier-neutral internet data center services provider in China. The company offers a comprehensive suite of services, including hosting and related services, managed network services, and cloud computing. Its infrastructure is critical for many businesses operating in the digital economy. Such privatization offers often aim to streamline operations, provide greater flexibility away from public market pressures, and allow existing shareholders to exit at a premium. The market will now closely watch the deliberations of VNET's special committee and any subsequent announcements concerning the bid.
