Wesco International observed an increase in its stock value subsequent to revealing its acquisition of Newark Engineering. The transaction, valued at $136 million, aims to significantly expand Wesco's presence in the utility sector across North America.
The agreement, as reported by Investing.com, positions Newark Engineering to become a wholly-owned subsidiary of Wesco. This integration is expected to broaden the acquiring company's portfolio, particularly within the utility infrastructure market. Newark Engineering, a privately held entity, is recognized for its specialization in power distribution, transmission, and substation packaging solutions, as well as providing engineered products.
The Burlington, Ontario-based company serves a diverse clientele, including investor-owned electric utilities, municipal utilities, utility contractors, and renewable energy developers. This established customer base and specialized product offering are key factors in Wesco's decision to integrate Newark Engineering into its operations.
From a financial perspective, Newark Engineering generated approximately $89 million in revenue over the twelve months ending March 31, 2024. The acquisition price, representing roughly 7.5 times Newark Engineering's EBITDA before synergies for the same period, highlights Wesco's valuation of the company's current profitability and future potential.
Wesco projects that the acquisition will become accretive to its adjusted earnings per share within the first year following the completion of the deal. Furthermore, the company anticipates achieving annual synergies of approximately $5 million by the conclusion of the third year post-acquisition. These synergies are expected to arise from various operational efficiencies and expanded market opportunities.
The completion of this transaction remains contingent upon customary closing conditions and regulatory approvals. Both companies are working towards finalizing the deal, which is expected to further solidify Wesco's position as a prominent provider of electrical and industrial solutions.
