Elicio Therapeutics has unveiled the pricing details for its direct registered offering, aiming to generate approximately $15 million in gross proceeds. This financial maneuver involves the sale of both common stock and warrants, as reported by Seeking Alpha. The biotechnology firm is offering roughly 4.1 million shares of its common stock. Alongside each share, investors will receive two warrants. One series of warrants, designated Series A, permits the purchase of up to 4.1 million additional shares, with an exercise price set at $3.63 per share. These Series A warrants become exercisable immediately upon issuance and will remain valid for five years from the date they are issued. Simultaneously, a second series of warrants, Series B, will also be distributed. These Series B warrants allow for the acquisition of another 4.1 million shares, with an exercise price of $3.63 per share. Unlike their Series A counterparts, the Series B warrants will not be immediately exercisable. Their exercise period will commence six months after their issuance and will continue for five years thereafter. The combined purchase price for one share of common stock and two accompanying warrants (one Series A and one Series B) is established at $3.63. The gross proceeds from this offering are projected to reach $15 million before deducting placement agent fees and other estimated offering expenses. Following the announcement of these terms, Elicio Therapeutics experienced a decline in its stock price, with shares falling by approximately 5%. This capital raise is intended to provide the company with additional resources for its ongoing operational and developmental activities.
