New Fortress Energy Inc. recently announced that it received a standard notification from the Nasdaq Stock Market concerning its stock price. This communication, dated March 14, 2024, indicates that the company is currently not meeting the minimum bid price standard necessary for ongoing listing on the exchange. According to Seeking Alpha, the specific Nasdaq rule in question, Listing Rule 5450(a)(1), mandates that listed securities maintain a minimum bid price of at least $1.00 per share. New Fortress Energy’s common stock has not met this threshold for a consecutive 30-business-day period, triggering the warning. The receipt of such a notification is a routine procedure for publicly traded companies whose shares fall below the specified price for a sustained period. It does not result in an immediate delisting. Instead, it serves as an initial alert that compliance issues need to be addressed. New Fortress Energy now has a 180-calendar-day compliance period to regain adherence to the listing standard. To resolve the issue, the closing bid price of the company’s common stock must be at least $1.00 for a minimum of ten consecutive business days within this timeframe. If the company successfully meets this criterion, Nasdaq will confirm its compliance and close the matter. Should New Fortress Energy not achieve compliance within the initial 180-day period, there may be an opportunity for an extension. If the company meets other listing requirements, it could be granted an additional 180 calendar days to resolve the minimum bid price deficiency. This would effectively provide a full year for the company to bring its stock price back into compliance. New Fortress Energy has stated its intention to actively monitor its stock price and consider all available options to rectify the situation and maintain its Nasdaq listing. The company aims to ensure it continues to meet all necessary requirements for trading on the exchange.
