QXO Inc. has announced the launch of cash tender offers to acquire specific series of senior notes issued by TopBuild Corp., according to Yahoo Finance. This strategic financial maneuver occurs as QXO prepares to finalize its acquisition of TopBuild’s leading distribution operations, primarily focused on construction materials. The tender offers are designed to purchase any and all of TopBuild’s 4.000% Senior Notes due 2029, as well as an upper limit of $500,000,000 combined aggregate principal amount of its 2.625% Senior Notes due 2030 and 3.625% Senior Notes due 2031.
The financing for these tender offers will be primarily sourced from the proceeds of new debt issuances by QXO. This approach aims to manage the existing debt structure of TopBuild as it transitions a significant part of its business to QXO. The completion of these cash tender offers is contingent upon several standard conditions. These include the successful completion of the aforementioned debt financings and other customary closing conditions typical for such transactions.
QXO has established an early tender deadline for the offers, set for 5:00 p.m., New York City time, on July 1, 2024. Holders who tender their notes prior to this deadline and whose tenders are accepted will receive a total consideration, which includes an early tender payment. For those who choose to tender their notes after this early deadline but before the final expiration, the consideration will be slightly less, omitting the early tender incentive.
The final expiration date for the tender offers is scheduled for 5:00 p.m., New York City time, on July 16, 2024. This timeline provides noteholders with a defined window to participate in the offers. The offers are being managed by BofA Securities, Inc., who is acting as the lead dealer manager. Additionally, Credit Agricole Securities (USA) Inc. and Wells Fargo Securities, LLC are serving as co-dealer managers for the transaction. Global Bondholder Services Corporation has been appointed as the information agent and depositary for the offers, providing logistical support and managing the administrative aspects of the tender process.
